We appreciate your interest in the R2Auction platform ("R2Auction," "us," "our," etc.). Kindly review our Privacy Policy, which is incorporated by reference into these Terms of Use. The R2Auction website (the "Site"), apps, and other media linked to it are all covered by these Terms of Use (the "Instant Auction Offerings"). You are a "Buyer" or "Seller" if you register for an account and/or log into the Services to view, bid on, buy, or sell inventory products or use any related services. If you are accepting these terms of use on behalf of a business or other organization, the terms "you" and "your" will then relate to both you and any entity you represent when interacting with the Site. You acknowledge that you have the authority to bind such an entity to these Terms of Use. Please do not use the Services if you do not have such authority.
To take advantage of the online instant auction of Offerings, the Buyer or Seller must register on the Site. Both the Buyer and the Seller agree to keep their passwords private and are responsible for any password and account usage. We can delete, reclaim, or change a username if we decide, in our sole discretion, that a Buyer or Seller's username is improper, obscene, or objectionable.
The material on the site is not for distribution or use by any person or organization in any place where it would be illegal, subject to registration requirements, or both. If and to the extent that local laws matter, users who visit the Site from other areas do so by choice. They are entirely responsible for obeying local laws.
You must dismantle the inventory goods. This means you must remove any identifying markers to comply with R2Auction guidelines before selling or discarding them. Identifiers like names, logos, barcodes, labels, and serial numbers may be examples of this.
The terms listed in the Email Notification and on the Site must be followed while making the Purchase Price payment. R2Auction retains the right, but only with notice, to modify the conditions of payment. Such modifications will not affect current sales and only apply to new transactions. R2Auction will give you full ownership of the Inventory Products upon payment.
Within 48 hours following the end of the auction, the victorious bidder must fulfill the remaining balance. You must meet the purchase requirements in the email and these conditions for this transaction to proceed. The bid descriptions and the email notifications of the winning bids state this. You must pay the whole Purchase Price by bank transfer to the account designated in the transfer instructions.
The winning offer will be revoked if the payment is not received within the time frame specified. R2Auction retains the right to reschedule the auction or sell the item to the second-highest bidder if payment is not received by the deadline. It will do so in its sole discretion. Notably, R2Auction is under no obligation to sell you the stock of goods.
In addition to paying the purchase price, you are also liable for paying any taxes, shipping, handling, and other expenses related to your purchase as per these terms.
Because of incorrect payment information, R2Auction is not liable for any losses or damages. This includes any repercussions of non-payment.
After you win the auction, the products you buy will be ready for pickup at the specified location. If you decide to pick up the goods in person, you need to call R2Auction to arrange a Pickup Time, as stated in the Email Notification.
If you want to self-pickup, you must make all shipping and retrieval plans. You must also pay for all required permissions and licenses. Unless R2Auction is careless, you will be responsible for your workers, tools, and belongings, as well as those of your agents. After receiving the availability notice, you have three business days to remove the Products. If not, R2Auction could keep the Products, put them up for sale on the Website, and then give you a refund after deducting the cost of storage, restocking, and penalty fees.
R2Auction will keep the title to the Stock Products until you take them to the agreed location. Once you get the item at the specified location, you will be responsible for any loss or responsibility. The products are covered against fire and theft if we employ our courier.
All appropriate steps will be taken by the parties to transfer the Products to the Buyer. To guarantee that the planned transactions are completed correctly, further reasonable steps may be performed.
The stock of Products provided by R2Auction is offered "as is" and "where is," unless otherwise specified in these Terms. R2Auction makes no representations or guarantees of any kind, whether statutory, explicit, implied, or otherwise, concerning the Inventory Products. This includes, among other things, the state or caliber of the Stock Products. It also includes any guarantees or conditions about merchantability, non-infringement, and suitability for a certain purpose.
Neither party is liable for consequential, indirect, special, or punitive damages from these Terms. Even if warned, except for indemnity duties under this agreement. The maximum amount of responsibility that R2Auction will ever have for any losses or damages resulting from these Purchase Terms is the amount you have paid R2Auction for the applicable Inventory Products.
Any mistakes in a listing that R2Auction fixes before the purchase of the Inventory Products it refers to will not hold R2Auction liable. This liability restriction is still in effect following each separate purchasing transaction.
Unless specified otherwise, R2Auction is not responsible to the other party for any failure or delay. These result from events beyond its control, including, but not limited to, acts of God, strikes, civil disturbances, sabotage, fires, floods, explosions, governmental acts, famines, and shortages of fuel, energy, transportation, or supplies.
At our sole discretion, we may approve, disapprove, or delete reviews. It is not our responsibility to filter or remove reviews, even if someone finds them offensive or untrue. We do not necessarily endorse reviews, nor do they necessarily reflect our thoughts or the opinions of any of our partners or affiliates. We disclaim all responsibility for any reviews, as well as for any claims, obligations, or damages arising from them.
R2Auction may allow the Buyer's account to be reinstated. This is if the account was suspended for the Buyer's late shipment or payment. The Buyer will have to pay a reinstatement fee to be granted access to the Site and the associated access rights upon such reinstatement. The reinstatement charge is 20% of the total bid amount following the initial suspension or deactivation, and it is 30% for each further occurrence.
If a Seller cancels a Listing at any point after the bid is live, R2Auction will receive a Listing Cancellation Fee equal to 20% of the Listing's GMV.
The Buyer or Seller must meet the guidelines below before publishing a review. Reviews from buyers or sellers shouldn't include derogatory language or be abusive, racist, insulting, or hateful. Buyer and seller reviews shouldn't refer to anything discriminatory. This includes a person's handicap, marital status, sexual orientation, age, race, gender, illegal activity, or country of origin.
Sellers or buyers who publish unfavorable evaluations shouldn't be connected to rival businesses. It is not for the Buyer or Seller to draw any judgments about the legality of the behavior. It is prohibited for the Buyer or Seller to publish any deceptive or fraudulent remarks.
It is not permitted for the Seller or Buyer to launch a campaign urging others to publish reviews, either favorable or unfavorable. By publishing a review, the Buyer or Seller gives R2Auction the right to use their review. They give R2Auction permission to reproduce, alter, translate, transmit, display, perform, and distribute the review in any format. They grant R2Auction these rights for an unlimited time. This right and license are non-exclusive, global, royalty-free, fully compensated, assignable, and sub-licensable.
We reserve the right, in our sole discretion and without prior notice, to alter, amend, or delete any portion of the Site. We are not required, however, to update any of the content on our website. Additionally, we have the right, at any time and without prior notice, to alter or terminate all or part of the instant auction Offerings. We will not be responsible for any change to the Site or the instant auction Offerings. This includes price changes, suspensions, or discontinuations. These changes affect the Buyer, Seller, or any other third party.
We can change the Site or the instant auction Offerings at any time. We don't have to give the Buyer or Seller notice. We can do this for any reason.
Buyer and Seller acknowledge that if the Site goes down or the instant auction stops, we won't be responsible. We aren't responsible for any loss, damage, or inconvenience if the Buyer or Seller can't use the instant auction.
