We appreciate your interest in the R2Auction platform ("R2Auction," "us," "our," and so on). Kindly review our Privacy Policy, which is incorporated by this reference into these Terms of Use. The R2Auction website (the "Site"), apps, and other media linked to it are all covered by these Terms of Use (the "Marketplace Offerings"). You are a "Buyer" or "Seller" if you register for an account and/or log into the Services to view, bid on, buy, or sell inventory Products or use any related services" Let's say that you are accepting these terms of use on behalf of a business or other organization. The terms "you" and "your" will then relate to both you and any entity you represent when interacting with the Site. You acknowledge that you can bind such entity to these Terms of Use. Please do not use the Services if you do not have such authority.

• Users of the Site must be at least eighteen years old. It is prohibited for anyone under the age of 18 to use the Site, register for an account, or access the Marketplace Offerings.
• Buyer and Seller guarantee that any registration information they submit will be true. It will be reliable, up-to-date, and complete through the use of the Site.
• Neither the Seller nor the Buyer shall use any automated or non-human methods, to access the Site.
• The seller and the buyer shall not use the site unlawfully. They shall not violate any laws or regulations.

Registration:

To take advantage of the online marketplace of Offerings, Buyer or Seller need to register on the Site. Both the buyer and the seller agree to keep their passwords private and are in charge of any password and account usage. We can delete, reclaim, or change a username if we decide, in our sole discretion, that a buyer or seller's username is improper, obscene, or objectionable.

Other users:

The material on the site is not for distribution or use by any person or organization in any place where it would be illegal, subject to registration requirements, or both. So, if and to the extent that local laws matter, users who visit the Site from other areas do so by choice. They are entirely responsible for obeying local laws.

Account Termination:

• Buyers and sellers can't use the site for illegal purposes. They also can't break any laws while using the marketplace. Posting illegal goods or content might lead to instant cancellation. It could also lead to a permanent ban from the website for the seller or buyer.
• We reserve the right to suspend or cancel Buyer or Seller's account and to prohibit further use of the Site (or any portion thereof) if Buyer or Seller provides any information that is false, incorrect, out-of-date, or incomplete.

Liability of user:

• We are a service provider. We disclaim any liability for the info on the Site or the Marketplace Offerings on it. This includes their safety, efficacy, sufficiency, accuracy, availability, pricing, ratings, reviews, or legality. Both the buyer and the seller acknowledge the site's information is not reliable. They agree to indemnify us for any mistakes, omissions or lies in it. The Site is offered exclusively for informative and promotional reasons, and we neither support nor advocate any Marketplace Offerings.
• It is the user's responsibility to update the correct and complete email address to receive notifications.
• When a buyer selects a seller listing, they will be notified by email. The buyer must keep the email address associated with their account up to date and promptly check their email to find out whether they have won any auctions in which they have participated.
• If you use the Site or are connected to selling, exporting, using, or managing the Inventory Products, you agree to repay and protect R2Auction's Auction. This also applies to its subsidiaries, affiliates, officers, directors, agents, and employees. You must protect them from any claims, actions, or expenses. This covers any infractions about export laws. Even after each purchase transaction made under this agreement, the indemnity obligation is still in effect.

You must dismantle the inventory goods. This means you must remove any identifying markers. Do this to comply with R2Auction guidelines, before selling or discarding them. Identifiers like as names, logos, barcodes, labels, and serial numbers may be examples of this.

Our Rights:

• The quantity of Marketplace Offerings provided or made available on the Site may be limited by us at our discretion. The prices and descriptions of the Marketplace Offerings can change at any time. They can change without notice and at our discretion. For any reason, at any time, we have the right to stop providing any Marketplace Offerings. We guarantee nothing about the quality of any Marketplace Offerings. They may not satisfy the buyer or Seller. We also do not guarantee the correction of any Site inaccuracies.
• R2Auction and its affiliates can instantly terminate your account, disable your password, and take legal action. They will do this if you violate any of the terms and conditions of these Purchase Terms.
• Remember: R2Auction can reject or revoke a purchase or bid at its sole discretion for many reasons. This might happen, for instance, if bids or product details contain mistakes or inconsistencies.
• R2Auction tries to give correct information. But, errors in spelling or system functionality sometimes happen. R2Auction can reject or cancel the transaction. This can happen if bids or Inventory Products are shown with the wrong quantity or information. You will receive an email notification of the cancellation in such cases.

Auction:

• Lots contain a variety of products. They include mobile phones, laptop and desktop computers, tablets, wearables, and other electronics.
• Each product in a lot will have a different condition. The listing will include standard descriptions of each product's condition.
• As stated in the description, lots sold by sellers may be sold "As-is." A lot that is sold "as-is" cannot be returned or adjusted. R2Auction cannot guarantee the caliber or number of Lots that Sellers sell.
• It's possible that extras like cords, batteries, and original packaging aren't included. Accessory inclusion will be specified in the Listing, however R2Auction cannot guarantee it.

Biding:

• A buyer must input their bid amount if they want to place a bid on a lot of goods.
• The buyer's bid must exceed both the "current bid" and the amount specified as the minimum bid.
• To qualify for the auction, a bid must be entered before the closing time. This includes any added time for an auction extension.
• An email notification will be sent to the buyer if they win a seller listing. The buyer must keep their account's email address accurate. They must also check their email promptly to find out if they won any auctions they joined.
• If an Email Notification is sent to a successful bidder and it is not received for any reason, such as technical issues or other system errors, R2Auction will not be held liable.
• If your bid wins, you must buy the Inventory Products soon after the Auction. You must follow the rules in the Purchase Conditions and the Email Notification. You must buy certain Inventory Products within two business days of getting an email from R2Auction. If you don't, the right to buy them will expire. You must also, in R2Auction's sole discretion, deactivate your password and account.
• Contact the next highest bidder for those products. Propose to sell them to the bidder at their price. If they refuse, put the products on the website for a future auction.
• Any listing where the period for accepting bids is increased by one to three times is an "Extended Listing." This happens because a bid was submitted in the last 0–5 minutes of the listing.

Payment:

• The terms listed in the Email Notification and on the Site must be followed while making the Purchase Price payment.
• R2Auction retains the right, but only with notice, to modify the conditions of payment. Such modifications will not impact current sales and only apply to new transactions. R2Auction will give you full ownership of the Inventory Products. You will get this upon paying.
• Within 48 hours following the end of the auction, the victorious bidder must fulfill the remaining balance. You must meet the purchase requirements in the email and these conditions. They are needed for this transaction to go ahead. The bid descriptions and the email notifications of the winning bids stated this. You must pay the whole Purchase Price by bank transfer to the account designated in the transfer instructions.
• The winning offer will be revoked if the payment is not received within the time frame specified.
• R2Auction retains the right to reschedule the auction or sell the item to the second-highest bidder if payment is not received by the deadline. It will do so in its sole discretion. Notably, R2Auction is under no obligation to sell you the stock of goods.
• In addition to paying the purchase price, you are also liable for paying any taxes, shipping, handling, and other expenses related to your purchase as per these terms.

Because of incorrect payment information, R2Auction is not liable for any losses or damages. This includes any repercussions of non-payment.

Transportation:

• After you win the auction, the products you buy will be ready for pickup at the specified location. If you decide to pick up the goods in person, you need to call R2Auction to arrange a Pickup Time, as stated in the Email Notification.
• If you want to self-pickup, you must make all shipping and retrieval plans. You must also pay for all needed permissions and licenses. Unless R2Auction is careless, you will be responsible for your workers, tools, and belongings as well as those of your agents. After receiving the availability notice, you have three business days to remove the Products. If not, R2Auction could keep the Products, put them up for sale on the Website, and then give you a refund after deducting the cost of storage, restocking, and penalty fee.
• R2Auction will keep the title to the Stock Products until you take them to the agreed location. Once you get the item at the specified location, you will be responsible for any loss or responsibility. The products are covered against fire and theft if we employ our courier.
• All appropriate steps will be taken by the parties to transfer the Products to the Buyer. To guarantee that the planned transactions are completed correctly, further reasonable steps may be performed.

Return and Refund:

• You have five business days to check the products that were delivered to your warehouse. Then, you must send an email to R2Auction with a written report on any inconsistencies. You won't be able to ask for reimbursement for underestimating after this time. If R2Auction accepts the undervaluation, it will refund or offset any payments and may carry out further inspections.

Limitation of liability:

• The stock of Products provided by R2Auction is offered "as is" and "where is," unless otherwise specified in these Terms. R2Auction makes no representations or guarantees of any kind, whether statutory, explicit, implied, or otherwise, concerning the Inventory Products.
• This covers, among other things, the state or caliber of the Stock Products. It also covers any guarantees or conditions about merchantability, non-infringement, and suitability for a certain purpose.
• Neither party is liable for consequential, indirect, special, or punitive damages from these Terms. Even if warned, except for indemnity duties under this agreement.
• The maximum amount of responsibility that R2Auction will ever have for any losses or damages resulting from these Purchase Terms is the amount you have paid R2Auction for the applicable Inventory Products.
• Any mistakes in a listing that R2Auction fixes before the purchase of the Inventory Products it refers to will not hold R2Auction liable. This liability restriction is still in effect following each separate purchasing transaction.
• Unless specified otherwise, R2Auction is not responsible to the other party for any failure or delay. These result from events beyond its control. These include, but are not limited to, acts of God, strikes, civil disturbances, sabotage, fires, floods, explosions, governmental acts, famines, and shortages of fuel, energy, transportation, or supplies.
• At our sole discretion, we may approve, disapprove, or delete reviews. It is not at all our responsibility to filter or remove reviews, even if someone finds them offensive or untrue. We do not necessarily endorse reviews, nor do they necessarily reflect our thoughts or the opinions of any of our partners or affiliates. We disclaim all responsibility for any reviews, as well as for any claims, obligations, or damages arising from them.

Restoration of account:

• R2Auction may allow the buyer's account to be reinstated. This is if the account was suspended for the buyer's late shipment or payment. Buyer will have to pay a reinstatement fee to be granted access to the Site and the associated access rights upon such reinstatement. The reinstatement charge is 20% of the total bid amount following the initial suspension or deactivation, and it is 30% for each further occurrence.
• If a Seller cancels a Listing at any point after the bid is live, R2Auction will receive a Listing Cancellation Fee equal to 20% of the Listing's GMV.

Reviews:

The buyer or seller must meet the guidelines that follow before publishing a review.

• Reviews from buyers or sellers shouldn't include derogatory language or be abusive, racist, insulting, or hateful.
• Buyer and seller reviews shouldn't refer to anything discriminatory. This includes a person's handicap, marital status, sexual orientation, age, race, gender, illegal activity, or country of origin.
• Sellers or buyers who publish unfavorable evaluations shouldn't be connected to rival businesses.
• It is not for the Buyer or Seller to draw any judgments about the legality of the behavior.
• It is prohibited for Buyer or Seller to publish any deceptive or fraudulent remarks.
• It is not permitted for the Seller or the Buyer to launch a campaign urging others to publish reviews, either favorable or unfavorable.
• By publishing a review, the Buyer or Seller gives us the right to use their review. They give us permission to reproduce, alter, translate, transmit, display, perform, and distribute the review in any format. They grant us these rights for an unlimited time. This right and license are non-exclusive, global, royalty-free, fully compensated, assignable, and sub-licensable.

Modification:

• We reserve the right, in our sole discretion and without prior notice, to alter, amend, or delete any portion of the Site. We are not required, nevertheless, to update any of the content on our website.
• Additionally, we have the right, at any time and without prior notice, to alter or terminate all or part of the Marketplace Offerings. We will not be responsible for any change to the Site or the Marketplace Offerings. This includes price changes, suspensions, or discontinuations. These changes affect the Buyer, Seller, or any other third party.
• We can change the Site or the Marketplace Offerings at any time. We don't have to give the Buyer or Seller notice. We can do this for any reason.
• Buyer and Seller acknowledge that if the site goes down or the marketplace stops, we won't be responsible. We aren't responsible for any loss, damage, or inconvenience if the Buyer or Seller can't use the marketplace.
